Welcome to mxNAP. These Terms of Service (“Agreement”) govern your access to and use of the services provided by mxNAP (“Company,” “we,” “us,” or “our”), including our website at mxnap.com and our various hosting solutions. By signing up for or using our services, you (“Customer,” “you,” or “your”) agree to be bound by these terms.
1. Acceptance of Terms
By accessing the mxNAP website or purchasing any of our services, you confirm that you have read, understood, and agreed to be bound by this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Service Provision (Description of Services)
mxNAP provides a variety of “Smart Hosting” solutions, including but not limited to:
- Shared Hosting
- Virtual Private Servers (VPS)
- Dedicated Servers and Colocation
- Public Cloud Services
- IT Infrastructure Outsourcing
- Bespoke IT solutions and software licensing (including SSL certificates, VPN, cPanel, Plesk, and Enhance control panels).
3. Account Registration and Security
To access our services, you must create an account. You agree to:
- Provide accurate, current, and complete information.
- Maintain the security of your password and identification.
- Promptly update your account information to keep it accurate.
- Accept all responsibility for all activity that occurs under your account.
- Customer Responsibility for Content: You are solely responsible for all data, files, websites, applications, emails, and other content and activity under your account, including ensuring that your content and use of the services comply with applicable law and this Agreement.
4. Payment and Billing
- Prepaid Fees: Services are billed in advance on a prepaid basis (monthly, quarterly, annually, or as otherwise stated at checkout).
- Recurring Billing & Renewals: Unless cancelled before the renewal date, your subscription will automatically renew at the end of each billing cycle and you authorize us to charge the applicable fees using your selected payment method.
- Taxes: Prices may be exclusive of applicable taxes (e.g., VAT) unless stated otherwise. You are responsible for all applicable taxes and government charges.
- Late Payments / Non-Payment: If payment is not received by the due date, we may suspend or limit services (including access) until all outstanding amounts are paid. Continued non-payment may result in termination.
- Price Changes: We may change our fees from time to time. For recurring services, we will provide at least thirty (30) days’ notice before any price change takes effect for your next billing cycle.
- Refunds: Refund policies vary by service type. Shared hosting may be eligible for a money-back guarantee within a specified timeframe, whereas dedicated servers, colocation, and software licenses are generally non-refundable.
5. Acceptable Use Policy (AUP)
You agree not to use mxNAP services for any unlawful activities. Prohibited activities include, but are not limited to:
- Hosting or transmitting illegal content or malware.
- Engaging in spamming or sending unsolicited emails.
- Attempting to gain unauthorized access to any network or system.
- Resource abuse that negatively impacts other users on a shared server.
- Infringing upon the intellectual property rights of others.
6. Service Level Agreement (SLA) and Uptime
mxNAP strives to provide high-quality “Smart Hosting” with maximum uptime. While we aim for 99.9% availability, scheduled maintenance and unforeseen technical issues may occur. Specific SLA credits or guarantees, if applicable, are defined by the specific service plan purchased.
7. Data Backups
While mxNAP may perform routine backups for disaster recovery purposes, the Customer is ultimately responsible for maintaining their own independent backups of all data hosted on our infrastructure. mxNAP is not liable for data loss.
8. Support and Third-Party Software
We provide technical support related to our hosting infrastructure. We do not provide support for third-party applications, coding, or website development unless specifically agreed upon via a bespoke IT solution contract. Licenses for cPanel, Plesk, Enhance, or other panels are subject to the terms and conditions of their respective providers.
9. Termination
- By Customer: You may cancel your service at any time via the customer portal.
- By mxNAP: We reserve the right to suspend or terminate your account immediately, without notice, for any breach of these Terms of Service, for non-payment, or for violations of our Acceptable Use Policy (AUP).
10. Limitation of Liability
To the maximum extent permitted by law, mxNAP shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or use, arising out of or in connection with our services, even if advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you for the service during the three (3) months prior to the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless mxNAP and its employees, directors, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the services or your violation of this Agreement.
12. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles.
13. Changes to Terms
mxNAP reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of the services after such changes constitutes acceptance of the new terms.
