This IP Address Lease Agreement (the “Agreement”) is made and entered into as of the date of service activation (the “Effective Date”) between:
1.0 Ivx Group Ltd (Company Reg: 17080224), trading as mxNAP, having its registered office at Suite 70, 60 Tottenham Court Road, London, W1T 2EW, United Kingdom (the “Lessor”); and
2.0 The individual or legal entity identified in the service order form or account registration (the “Lessee”).
The Lessor and Lessee are collectively referred to as the “Parties.”
1.1. The Lessor agrees to lease to the Lessee, and the Lessee agrees to lease from the Lessor, the exclusive right to use the IPv4 and/or IPv6 addresses (the “Leased IPs”) as specified in the Lessee’s service order or invoice. 1.2. The Leased IPs remain the sole property of the Lessor or its upstream providers. This Agreement grants a right of use only and does not constitute a transfer of ownership or permanent assignment.
2.1. This Agreement is entered into for a fixed term as specified in the service order form, invoice, or account portal (the “Initial Term”), typically on a monthly or annual basis. 2.2. Upon expiration of the Initial Term, this Agreement shall automatically renew for successive periods of the same length unless either Party provides written notice of non-renewal at least sixty (60) days prior to the end of the current term.
3.1. The Lessee shall pay the lease price as specified in the relevant invoice. 3.2. All payments must be made in advance. Failure to pay by the due date may result in immediate suspension of the Leased IPs. 3.3. The Lessor reserves the right to adjust the lease price upon thirty (30) days’ notice to the Lessee, usually coinciding with a renewal period.
4.1. The Lessee shall use the Leased IPs in strict compliance with all applicable laws, government regulations, and the policies of the relevant Regional Internet Registry (e.g., RIPE, ARIN, APNIC). 4.2. The Lessee may sublease the Leased IPs to its own clients or end-users but remains fully responsible for their use. Any subleasing permitted by the Lessor does not absolve the Lessee of its obligations under this Agreement. 4.3. The Lessee must comply with the mxNAP Acceptable Use Policy (AUP) and must not use (or permit others to use) the Leased IPs for illegal activities, spam, or abuse.
5.1. The Lessee shall not use the Leased IPs for any form of network abuse, including but not limited to:
- Sending unsolicited bulk email (SPAM);
- Hosting illegal content;
- Participating in DDoS attacks;
- Phishing or fraudulent activities. 5.2. If any Leased IP becomes blacklisted by major RBLs (Real-time Blackhole Lists) or security providers due to the Lessee’s use, the Lessee shall be liable for a “Blacklist Removal Fee” of £50.00 per IP address, in addition to any liquidated damages. 5.3. The Lessor reserves the right to immediately suspend access to, or terminate, the Leased IPs if abuse is detected, without refund. The Lessee is liable for any fines, penalties, claims, losses, or damages arising from or related to abuse of the Leased IPs (including abuse by the Lessee’s clients or end-users).
6.1. The Lessor shall provide a Letter of Authorization (LOA) or update the relevant RIR database (e.g., RIPE DB) to reflect the Lessee’s right to announce the Leased IPs, where applicable. 6.2. The Lessee is responsible for the correct BGP announcement of the Leased IPs. Any technical assistance required from mxNAP beyond standard provisioning may be subject to a “Remote Hands” or “Technical Support” fee.
7.1. The Lessor provides the Leased IPs on an “as-is” basis. While the Lessor ensures the IPs are clean at the time of delivery, it does not warrant that the IPs will be suitable for any specific third-party platform or service. 7.2. To the maximum extent permitted by law, the Lessor’s total liability for any claim arising out of this Agreement shall not exceed the total amount paid by the Lessee for the Leased IPs in the one (1) month preceding the claim.
8.1. Either party may terminate this Agreement if the other party commits a material breach and fails to remedy such breach within seven (7) days of notice. 8.2. Upon termination, the Lessee must immediately cease all use and BGP announcements of the Leased IPs. 8.3. The Lessor reserves the right to reclaim the Leased IPs immediately upon termination to prevent unauthorized use. Access to the Leased IPs will be blocked immediately upon termination of this Agreement.
9.1. This Agreement and any disputes arising out of it shall be governed by and construed in accordance with the laws of England and Wales. 9.2. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales. 10.1. This Agreement, along with the mxNAP Terms of Service and Acceptable Use Policy, constitutes the entire agreement between the Parties regarding the lease of IP addresses and supersedes all prior discussions or arrangements.
